These terms and conditions are entered into by and between you and Revolve Group, Inc. and its subsidiaries, Eminent, Inc. doing business as Revolve and FWRD, LLC (“Company,” “we,” or “us”). The following terms and conditions, together with the Revolve Group, Inc. Terms of Service, incorporated herein by reference (collectively, “Terms”), govern your access to and participation in the FWRD Buy Back Program (“Buy Back Program”) via www.fwrd.com (“Website”). Please read the Terms carefully prior to your participation in the Buy Back Program. By participating in the Buy Back Program, you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms, you must not participate in the Buy Back Program.

Arbitration Notice. Except for certain kinds of disputes described as set forth in the Revolve Group, Inc. Terms of Service you agree that disputes arising under this Buy Back Program, including any claims arising from or related to your use of the Service (as defined in the Terms), will be resolved BY BINDING, INDIVIDUAL ARBITRATION, AND BY ACCEPTING THESE TERMS, YOU AND COMPANY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under this contract (except for matters that may be taken to small claims court). Your rights will be determined by a neutral arbitrator and not a judge or jury.

1. Changes to the Terms and Conditions and Termination of BUY BACK Program

   We may revise and update these Terms from time to time in our sole discretion. All changes are effective upon notification to you and apply to all participation in the Buy Back Program thereafter. We also reserve the right to change, suspend, and terminate the Buy Back Program at any time and for any reason.

2. Buy Back Program Eligibility

   The Buy Back Program is available to customers who are 18 years of age or older, and who reside in the United States, excluding Hawaii and Alaska. Residents of Hawaii or Alaska are unable to participate. To participate in the Buy Back Program, you must create an account on the Website ("Member Account"). Eligible individuals may enroll by following the instructions on the Website to provide the requested information (e.g., an email address and password (your "Login Credentials") and agree to the Terms.

   Only those customers who have made a purchase of a new handbag on the FWRD website on or after January 1, 2022 via their Member Account are eligible to participate in this program. The handbag must have been a new FWRD retail item at the time of purchase and purchased at full original retail price from the FWRD website. Handbags purchased for less than the full original retail price e.g. markdown items, sale items, with a promo code, coupon, or other discount promotion, etc. are not eligible. Handbags purchased on or after January 1, 2022 are eligible for the Buy Back Program for up to one (1) year following the date of purchase. We may, in our sole and absolute discretion, allow handbags purchased outside of this time allowance or purchased from a third-party seller, to participate in the Buy Back Program. Brand exclusions may apply (in our sole discretion). We are under no obligation to accept any handbag into the Buy Back Program and we reserve the right to reject any handbag and refuse to issue gift certificate for any or no reason. 3. BUY BACK Program Process

   The Buy Back Program submission guidelines are available here. We reserve the right to alter or amend these guidelines and submission standards at any time. A handbag may, without guarantee, be eligible for the Buy Back Program if it meets the following minimum standards:

   To initiate the buyback process, click the “Begin Buy-Back” button located on the FWRD website or follow the link available here. You will receive an email from a FWRD specialist with a request to provide photos of the handbag for preauthorization. If we decide that your handbag meets our submission standards, we will provide you with a pre-paid shipping label via email and you will need to ship your handbag to us via our designated carrier for further inspection within 14 days from when we send you the pre-paid shipping label. Failure to timely ship your handbag to us may result in returning the handbag to you. We do not assume any liability, risk of loss, injury, damage, or any expense in connection with your shipment. Title and risk of loss or damage to all shipments hereunder shall pass from you to us upon delivery of the shipment at our designated warehouse. We reserve the right to inspect the handbag prior to a final determination of whether or not we will accept the handbag and issue a gift certificate, based on an inspection following our receipt and inspection of the handbag.

   Should the handbag meet our submission standards upon physical receipt and inspection and we decide to accept your handbag, we will send you a gift certificate in an amount equivalent to estimated credit provided to you during the buyback process (which amount excludes applicable taxes, customs, duties, shipping costs, and any other costs) you paid for the handbag at the time of your purchase to the email address associated with your Member Account. The estimated credit amount we offer to you is not negotiable. Once we receive and accept your handbag, your handbag will be considered final sale and will not be returned to you.

   We reserve the right to (in our sole discretion) refuse an offer or issue of a gift certificate for any items that do not meet the Buy Back Program’s submission guidelines or are otherwise deemed unfit for participation in this program. Reasons for refusal include, but are not limited to, those handbags that were originally sold as final sale or marked down items, handbags that have been modified or customized, handbags that are missing components, handbags that are received in a condition that is not consistent with photos submitted, and handbags that do not otherwise meet our submission guidelines, etc. We reserve the right to revoke a buy back offer if we learn that the handbag does not meet our submission guidelines, that the handbag was not originally purchased from us, or if you otherwise breach the Terms. Such refused handbags will be shipped back to you at our expense via our designated carrier. Title and risk of loss or damage to all shipments shall pass from us to you upon delivery of the shipment to our designated carrier.

4. GIFT Certificate and Use of GIFT Certificate

   If we accept your handbag as eligible for the Buy Back Program, you will receive an offer in the form of a gift certificate to be used towards purchases on www.fwrd.com or www.revolve.com. Gift certificates are subject to applicable laws, including, but not limited to, escheatment laws, which could vary by each state. The gift certificate will be issued to your Member Account and can only be used on www.fwrd.com or www.revolve.com, cannot be exchanged for cash, and the gift certificate has no cash value. Your gift certificate can be combined with additional valid promo codes, so that multiple codes may be used together for the purchase of one or more items on www.fwrd.com or www.revolve.com. However, subsequent returns of items purchased with this gift certificate will be eligible for gift certificate only, and will not be eligible for refunds. The gift certificate will not be replaced if lost or stolen. If we determine that you violated these Terms or submitted a handbag that violated our submission guidelines, we reserve the right to revoke any gift certificate previously issued.
